ARBITRATION NOTICE: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN SECTION 19 BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
These Terms of Service (these "Terms") govern your use of and access to the websites and online services provided by Deum Video Ltd. ("us", "we", or "our"), which include the Deum Video web application (the "App"), the Deum Video website (the "Site"), and all related tools and services (collectively, the "Deum Service").
We may make changes to these Terms from time to time. The "Last Updated" date indicates when these Terms were last changed. If we make future changes, we will provide you with notice by sending an email, providing a notice through the Deum Service, or updating the date at the top of these Terms. Unless we say otherwise, the amended Terms will be effective immediately, and your continued use after we provide notice confirms your acceptance. If you do not agree to the amended Terms, you must stop using the Deum Service.
Deum is an AI-powered video editing tool that automatically removes filler words (such as "um", "uh", "er", "like", "you know") from your videos. The App allows you to (a) upload video files, (b) automatically detect and remove filler words using AI transcription and editing, (c) download processed videos, and (d) manage your subscription and usage.
You must be at least 13 years of age to access or use the Deum Service. If you are under 18 years of age (or the age of legal majority where you live), you may use the Deum Service only under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
If you are accessing the Deum Service on behalf of a company or other entity, you represent that you are authorized to accept these Terms on behalf of that entity, and that entity agrees to be responsible if you or the entity violates these Terms.
You must create an account before using the Deum Service. You must provide complete and accurate information as requested, and must maintain and update all information to keep it current and accurate. Any failure to do so may result in deletion of your account.
You agree to maintain the security and confidentiality of your user name and password. You are responsible for any and all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

Subject to these Terms, we grant you a limited, nonexclusive, nontransferable, non-sublicensable, revocable license to access and use the Deum Service for your own personal or internal business use.

The Deum Service and all content and materials contained therein (excluding your uploaded videos) are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.
Deum and our logos, product names, and slogans are our trademarks and may not be copied, imitated, or used without our prior written permission.
Users may upload video files and other content ("User Content") to the Deum Service for processing. You are solely responsible for your User Content. We are neither responsible nor liable for any User Content or for its use, availability, deletion, or loss.
You may not upload or use any User Content that:
We claim no ownership rights in your videos. You retain all rights to your User Content. However, you grant us a limited, nonexclusive, royalty-free license to access, process, store, and transmit your User Content solely to provide the Deum Service (transcription, filler removal, and delivery of processed videos). We treat your videos as confidential and do not use them for any other purpose unless required by law.
You agree not to:
We treat your uploaded videos as confidential information. We automatically process your videos using AI, but this does not involve human access unless: (1) you request support and provide consent; or (2) we are required by law. Your uploaded videos are automatically deleted after processing. Processed videos are available for download for 24 hours, then permanently deleted.
Current pricing tiers are displayed at deum.video. We offer monthly subscriptions with processing hour allotments. Prices may change with 30 days notice to existing subscribers.
Subscriptions are billed monthly in advance. All payments are processed securely through Stripe. You authorize us to charge your payment method for all fees incurred.
We offer refunds within 7 days of purchase if you have used less than 10% of your monthly processing hours. Processing time is non-refundable after use.
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will not be charged again, but you will not receive a refund for the current period.

The Deum Service integrates with third-party services including Stripe (payment processing), Clerk (authentication), Deepgram (transcription), AWS (infrastructure), and Vercel (hosting). Your use of these services may be subject to their respective terms and policies. We are not responsible for third-party services.

To the fullest extent permitted by law, you will indemnify, defend, and hold harmless Deum Video and our officers, directors, employees, and agents from any claims, damages, expenses, or costs arising out of: (a) your use of the Deum Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another; or (e) your conduct in connection with the Deum Service.
We reserve the right to suspend or terminate your account and access to the Deum Service at any time, with or without cause or notice. Upon termination, you will cease all use of the service, and we will delete all User Content stored in connection with your account. You are solely responsible for making backup copies.
In order to provide the Deum Service, you agree that we may process, transfer, and store information about you in the United Kingdom, the European Union, and other countries, where you may not have the same rights and protections as under local law.
IMPORTANT: PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Agreement to Arbitrate: You and we agree that any disputes arising out of or relating to these Terms or the Deum Service (except disputes in small claims court or relating to intellectual property rights) will be resolved through binding arbitration, not in court.
Informal Resolution First: Before initiating arbitration, you agree to first contact us at legal@deum.video and attempt to resolve the dispute informally for 30 days.
Arbitration Rules: If informal resolution fails, arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single, neutral arbitrator.
Class Action Waiver: All claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any class or representative proceeding. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
Fees: For any arbitration you initiate, you will pay the filing fee (up to £200 maximum), and we will pay the remaining AAA fees.
Opt-Out: You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@deum.video with your name, address, and a clear statement that you opt out of arbitration.
These Terms are governed by the laws of England and Wales. Any disputes (to the extent not subject to arbitration) will be resolved in the courts of England and Wales.
These Terms constitute the entire agreement between you and us regarding the Deum Service. Our failure to enforce any right or provision will not be considered a waiver. If any provision is found unenforceable, the remaining provisions will remain in effect.
You may not transfer or assign these Terms without our consent. We may freely transfer or assign these Terms. These Terms inure to the benefit of the parties and their respective successors and assigns.
You agree that communications between us may be conducted electronically. By creating an account, you consent to receive electronic communications from us (via email or notices on our site). You agree that any notices, agreements, or other communications we send electronically satisfy any legal communication requirements, including that such communications be in writing.
